Buying a Retail Business in the UK
Retail deals live or die on lease security, stock at valuation and whether footfall still supports the rent.
Lease and footfall
Retail value is tied to location. Request footfall counters, card terminal data and landlord service charge schedules. A profitable P&L on a five-year lease with no renewal option is a different risk profile to a ten-year term with moderate rent.
- Unexpired lease term and break clauses
- Business rates assessment and any reliefs transferring on sale
- Anchor tenants and local vacancy rates on the parade or centre
- Online delivery and click-and-collect as a percentage of revenue
Stock at valuation (SAV)
Stock is usually valued separately on completion. Agree the methodology in heads of terms: at cost, net realisable value, or a hybrid. Obsolete, seasonal and supplier-returnable stock need clear rules or disputes follow at completion.
- Full stock count with aged inventory report
- Shrinkage and theft history from EPOS and CCTV if available
- Consignment or sale-or-return stock excluded from SAV
- Minimum stock level needed to trade from day one
Staff and systems
Retail relies on part-time rotas and seasonal hiring. Under TUPE you inherit employment terms. Confirm EPOS, loyalty, e-commerce platform and payment terminal contracts all transfer cleanly.

- Gross margin by category, not blended across the whole shop
- Rent and rates below 15% of turnover for most high street formats
- Marketing spend that actually drives repeat visits, not one-off events
- Owner working in the shop unpaid: add back a market manager salary
