Registrations and CQC
Care homes, domiciliary care, dental practices and clinics each carry different regulators. CQC registration does not automatically transfer: you must notify or apply for variation before or on completion. A recent inadequate or requires improvement rating affects both valuation and lender appetite.
- Current CQC or equivalent regulator rating and inspection history
- Registered manager named and willing to remain or be replaced
- Professional registrations (GDC, GMC, HCPC) for clinical staff
- NHS or local authority contract terms and notice periods
Contracted revenue
Many healthcare businesses blend private pay, insurance and NHS income. Confirm which contracts are personal to the seller and which transfer with the entity. Local authority spot contracts can be re-tendered on change of control.
Staffing and TUPE
Clinical and care staff are regulated roles with mandatory training logs. TUPE applies in most asset and share deals. Budget for induction, DBS renewals and agency cover during handover.
- Vacancy rates and agency spend as a percentage of payroll
- Mandatory training compliance matrix
- Pension auto-enrolment and NHS pension implications where relevant
Financial benchmarks
- EBITDA margins compared to sub-sector norms (dental vs care home differ sharply)
- CapEx for equipment refresh and compliance upgrades
- Outstanding clinical negligence or safeguarding claims
- Property lease or care home HMO licensing if applicable
